Job Description

The Post Oak Group is seeking a Managing Director to lead the execution of capital markets and M&A transactions across the firm’s lower middle market practice. This role is designed for a proven deal executor with a track record of closed transactions and the judgment to guide founders, boards, and investors through complex, high-stakes processes from engagement through closing.

This is a senior client-facing and investor-facing leadership role. The Managing Director leads the firm’s most significant mandates end to end and sets the standard for execution quality across every transaction they oversee.

Role Overview

As a Managing Director, you will lead the execution of sell-side M&A, private placement, and capital raise mandates. You will set transaction strategy, direct deal teams through every phase of the process, and personally manage the most senior client, investor, and counterparty relationships on each transaction through to closing.

The role demands deep transaction experience, exacting execution standards, and the leadership presence to command the confidence of business owners, institutional investors, and internal teams alike, while ensuring all securities-related activity remains in full regulatory compliance.

Key Responsibilities

• Lead transaction execution end to end across sell-side M&A, private placements, and capital raises, owning process strategy, timeline, and outcomes on each mandate
• Set transaction strategy, including positioning, valuation framework, buyer and investor targeting, and process design for each mandate
• Own the senior client relationship throughout each engagement, advising founders, boards, and management teams through consequential process and structural decisions
• Lead negotiations on letters of intent, term sheets, and definitive agreements, guiding clients through key commercial and structural decisions
